Settlement Agreement and Release

This document is about a settlement agreement and release between the U.S. Department of Labor and Wilmington Trust, N.A. regarding the DOL's investigation and litigation over Wilmington Trust's performance as a trustee or fiduciary of ERISA-covered employee stock ownership plans (ESOPs) in connection with certain ESOP transactions. The agreement includes a $80 million payment to the affected ESOPs, a $8 million ERISA Section 502(l) payment, and mutual releases between the parties.
